(together with its affiliates and subsidiaries, “</span><span class="c0">Eco</span><span class="c4">”, “</span><span class="c0">we</span><span class="c4">”, “</span><span class="c0">us</span><span class="c4">” and “</span><span class="c0">our</span><span class="c4">”) governs your access and use of Bill Pay Transactions (as defined in the </span><span class="c18 c4"><a class="c10" href="https://www.google.com/url?q=https://eco.com/user-agreement&sa=D&source=editors&ust=1684957078208381&usg=AOvVaw0cDyQ5w0ny6LV3dqM9kRja">Eco User Agreement</a></span><span class="c4"> (the “</span><span class="c0">User Agreement</span><span class="c4">”)). We refer to the Eco Platform’s enablement of Bill Pay Transactions as the “</span><span class="c0">Bill Pay Service</span><span class="c3">.” If you do not agree to these Terms, you may not use the Bill Pay Service.</span></p><p class="c5"><span class="c3"></span></p><p class="c13"><span class="c4">These Terms supplement and form a part of the User Agreement</span><span class="c0"> </span><span class="c3">and the other agreements referenced therein, which remain in full force. Capitalized terms used but not defined herein have the meanings given to them in the User Agreement. To the extent of any conflict or inconsistency between the provisions in these Terms and the User Agreement, these Terms shall control.</span></p><p class="c5"><span class="c3"></span></p><ol class="c1 lst-kix_791ie6i8u559-0 start" start="1"><li class="c9 c19 li-bullet-0"><span class="c8 c0">MAKING A BILL PAY TRANSACTION</span></li></ol><p class="c5 c7"><span class="c8 c0"></span></p><ol class="c1 lst-kix_791ie6i8u559-1 start" start="1"><li class="c2 li-bullet-0"><span class="c3">In order to use the Bill Pay Service, you must open and maintain an Account on the Eco Platform.</span></li></ol><p class="c5 c6"><span class="c3"></span></p><ol class="c1 lst-kix_791ie6i8u559-1" start="2"><li class="c2 li-bullet-0"><span class="c4">To make a Bill Pay Transaction, you must follow the instructions of your third-party U.S.-based biller (a “</span><span class="c0">Biller</span><span class="c4">”) for them to initiate an ACH pull transaction using a routing number and unique account number (your “</span><span class="c0">Bill Pay Account</span><span class="c4">”) that will be assigned to you through the Eco Platform by Piermont Bank, Member FDIC (“</span><span class="c0">Banking Partner</span><span class="c3">”).</span></li></ol><p class="c5 c6"><span class="c3"></span></p><ol class="c1 lst-kix_791ie6i8u559-1" start="3"><li class="c2 li-bullet-0"><span class="c3">By doing so, you authorize Banking Partner to follow the Biller’s payment instructions, debit your Bill Pay Account, and remit funds accordingly. You also authorize Eco to debit your USDC Account balance accordingly. A spending hold for the value of the Bill Pay Transaction will be placed on your USDC Account balance (which will lower your available USDC Account balance) until the Bill Pay Transaction is settled. If a hold is placed on your Bill Pay Account, you will be notified when the hold is placed and provided with the length of the hold.</span></li></ol><p class="c5 c6"><span class="c3"></span></p><ol class="c1 lst-kix_791ie6i8u559-1" start="4"><li class="c2 li-bullet-0"><span class="c3">Initiating a Bill Pay Transaction may require you to go to your Biller’s website or mobile app. All Bill Pay Transactions must be initiated by your Biller, and you cannot initiate a Bill Pay Transaction through the Eco Platform.</span></li></ol><p class="c5 c6"><span class="c3"></span></p><ol class="c1 lst-kix_791ie6i8u559-0" start="2"><li class="c9 c7 li-bullet-0"><span class="c8 c0">BANKING PARTNER</span></li></ol><p class="c5 c7"><span class="c8 c0"></span></p><ol class="c1 lst-kix_791ie6i8u559-1" start="5"><li class="c2 li-bullet-0"><span class="c3">You acknowledge you have reviewed Banking Partner’s terms and conditions for your Bill Pay Account and agree to follow them.</span></li></ol><p class="c5 c6"><span class="c3"></span></p><ol class="c1 lst-kix_791ie6i8u559-0" start="3"><li class="c9 c7 li-bullet-0"><span class="c0 c8">YOUR RESPONSIBILITIES; NO SERVICE GUARANTEE; DISCLAIMER OF LIABILITY</span></li></ol><p class="c5 c6"><span class="c3"></span></p><ol class="c1 lst-kix_791ie6i8u559-1" start="6"><li class="c2 li-bullet-0"><span class="c3">You are solely responsible for ensuring payments amounts, instructions, and other details are correct for your Bill Pay Transaction prior to instructing your Biller to initiate such Transaction. Eco is not responsible for the accuracy, propriety, or legality of your Biller’s bills or payment instructions. Eco does not make any guarantee that your Bill Pay Transaction will be delivered to your Biller in a timely manner or that it will not be rejected, returned or reversed.</span></li></ol><p class="c5 c6"><span class="c3"></span></p><ol class="c1 lst-kix_791ie6i8u559-1" start="7"><li class="c2 li-bullet-0"><span class="c3">You understand and acknowledge that if you learn of or suspect any errors or inaccuracies by your Biller with respect to a Bill Pay Transaction, including your instructions to your Biller or your Biller’s ACH pull transaction, you must contact your Biller (and not Eco) to correct those issues.</span></li></ol><p class="c5 c6"><span class="c3"></span></p><ol class="c1 lst-kix_791ie6i8u559-1" start="8"><li class="c2 li-bullet-0"><span class="c3">If you learn of or suspect any errors or inaccuracies in Banking Partner’s transmission of funds or Eco’s debit of your USDC Account balance in connection with a Bill Pay Transaction, you must promptly notify Eco and cooperate with us to correct those issues.</span></li></ol><p class="c5 c6"><span class="c3"></span></p><ol class="c1 lst-kix_791ie6i8u559-1" start="9"><li class="c2 li-bullet-0"><span class="c4">You acknowledge and agree that Eco will not have any liability whatsoever for losses or damages arising from or relating to: (a) the products, services, or other consideration that you receive or don’t receive from your Billers; (b) your erroneous, improper, or prohibited use of the Bill Pay Service, including your provision of erroneous payment instructions to your Biller; (c) any delayed, untimely, incomplete, erroneous, canceled, reversed, or rejected Bill Pay Transactions or payments, including payment of any Bill Pay Transaction you being made within the timeframe agreed to between you and your Biller as well as refusal by your Biller of a payment; (d) the accuracy, propriety, or legality of your actual or purported Biller’s payment instructions, actions or inactions, (e) fraudulent activity or other wrongdoing by your Biller or you; (f) insufficient funds in or the expiration or closure of your Account; and (g) any error, failure, or malfunction of your computer or any other equipment used for the Service or any security breach, compromise, intrusion, or misuse of the Eco Platform, your computer or any other equipment used for the Bill Pay Service (collectively, the “</span><span class="c0">Liability Exclusion Scenarios</span><span class="c3">”).</span></li></ol><p class="c5 c6"><span class="c3"></span></p><ol class="c1 lst-kix_791ie6i8u559-0" start="4"><li class="c7 c9 li-bullet-0"><span class="c8 c0">LIMITS ON THE BILL PAY SERVICE; PROHIBITED TRANSACTIONS</span></li></ol><p class="c5 c7"><span class="c8 c0"></span></p><ol class="c1 lst-kix_791ie6i8u559-1" start="10"><li class="c2 li-bullet-0"><span class="c3">Your Bill Pay Transaction will be rejected if it would exceed either your current USDC Account balance or $15,000.00 in aggregate Bill Pay Transactions in the past 24 hours. Eco or Banking Partner may alter these limits at any time for any reason, on a per-transaction or cumulative basis, without notice or liability to you. If we do alter these limits, we'll use commercially reasonable efforts to provide notice to you but won't be required to do so.</span></li></ol><p class="c5 c6"><span class="c3"></span></p><ol class="c1 lst-kix_791ie6i8u559-1" start="11"><li class="c2 li-bullet-0"><span class="c0 c12">Prohibited Payments.</span><span class="c3"> You are prohibited from using the Bill Pay Service for making any of the following:</span></li></ol><p class="c5 c6"><span class="c3"></span></p><ol class="c1 lst-kix_791ie6i8u559-2 start" start="1"><li class="c9 c11 li-bullet-0"><span class="c3">Payments to or from persons or entities located in prohibited territories (including any territory outside of the United States);</span></li></ol><p class="c5 c11"><span class="c3"></span></p><ol class="c1 lst-kix_791ie6i8u559-2" start="2"><li class="c9 c11 li-bullet-0"><span class="c3">Payments that violate any applicable law, statute, ordinance or regulation; </span></li></ol><p class="c5 c11"><span class="c3"></span></p><ol class="c1 lst-kix_791ie6i8u559-2" start="3"><li class="c9 c11 li-bullet-0"><span class="c3">Payments that violate these Terms or the User Agreement, including the Prohibited Transactions set forth in Section 5 of the User Agreement;</span></li></ol><p class="c5"><span class="c3"></span></p><ol class="c1 lst-kix_791ie6i8u559-2" start="4"><li class="c9 c11 li-bullet-0"><span class="c3">Payments to yourself, any business controlled by you, or any third party for the ultimate purpose of returning funds to you;</span></li></ol><p class="c5 c11"><span class="c3"></span></p><ol class="c1 lst-kix_791ie6i8u559-2" start="5"><li class="c9 c11 li-bullet-0"><span class="c3">Payments on behalf of another person or any business entity or organization; and</span></li></ol><p class="c5 c11"><span class="c3"></span></p><ol class="c1 lst-kix_791ie6i8u559-2" start="6"><li class="c9 c11 li-bullet-0"><span class="c3">Payments that are not bona fide payments for goods or services to a third party, including transfers of funds to third parties.</span></li></ol><p class="c5 c6"><span class="c3"></span></p><ol class="c1 lst-kix_791ie6i8u559-1" start="12"><li class="c2 li-bullet-0"><span class="c3">Eco or Banking Partner may cancel, block, and/or reverse payments that are determined, in Eco’s or Banking Partner’s sole discretion, to be potentially prohibited payments. In no event shall Eco or Banking Partner be liable for any claims or damages resulting from such payments..</span></li></ol><p class="c5 c6"><span class="c3"></span></p><ol class="c1 lst-kix_791ie6i8u559-1" start="13"><li class="c2 li-bullet-0"><span class="c3">We have no obligation to research or resolve any claim resulting from a prohibited payment. All research and resolution for any misapplied, mis-posted or misdirected prohibited payments will be your sole responsibility and not ours. We encourage you to provide notice to us of any violations of this section or these Terms or the User Agreement generally.</span></li></ol><p class="c5 c6"><span class="c3"></span></p><ol class="c1 lst-kix_791ie6i8u559-0" start="5"><li class="c9 c7 li-bullet-0"><span class="c8 c0">OUR RIGHTS</span></li></ol><p class="c5 c7"><span class="c8 c0"></span></p><ol class="c1 lst-kix_791ie6i8u559-1" start="14"><li class="c2 li-bullet-0"><span class="c3">Eco and Banking Partner reserve the right to refuse to make any Bill Pay Transaction, at Eco’s or Banking Partner’s sole discretion. In addition, your Bill Pay Transaction may be rejected or reversed by Eco or Banking Partner at any time for any reason, including if we suspect your Transaction violates applicable law or this or any other applicable agreement.</span></li></ol><p class="c5 c6"><span class="c3"></span></p><ol class="c1 lst-kix_791ie6i8u559-1" start="15"><li class="c2 li-bullet-0"><span class="c3">Eco reserves the right to cancel or stop any Bill Pay Transaction that has been claimed but not deposited or otherwise received by a Biller within a reasonable amount of time, as determined by us at our sole discretion. When using the Bill Pay Service, you understand and agree that it may take more than 60 days for us to receive notice of the return or reversal of an ACH debit and/or to exercise any rights granted or reserved under these Terms.</span></li></ol><p class="c5 c6"><span class="c3"></span></p><ol class="c1 lst-kix_791ie6i8u559-1" start="16"><li class="c2 li-bullet-0"><span class="c3">Eco reserves the right to modify or terminate the Bill Pay Service, or your use of the Bill Pay Service, to limit or deny access to the Bill Pay Service, at any time, in our sole discretion, for any reason, with or without notice and without liability to you.</span></li></ol><p class="c5 c6"><span class="c3"></span></p><ol class="c1 lst-kix_791ie6i8u559-0" start="6"><li class="c9 c7 li-bullet-0"><span class="c8 c0">RISK DISCLOSURES</span></li></ol><p class="c5 c7"><span class="c8 c0"></span></p><ol class="c1 lst-kix_791ie6i8u559-1" start="17"><li class="c2 li-bullet-0"><span class="c4">The Bill Pay Service employs Automated Clearing House (or “</span><span class="c0">ACH</span><span class="c3">”), which is an electronic payment system that allows you to make payments through a transfer from one bank account to another. ACH payments come with some risks that you should be aware of.</span></li></ol><p class="c5 c6"><span class="c3"></span></p><ol class="c1 lst-kix_791ie6i8u559-1" start="18"><li class="c2 li-bullet-0"><span class="c0 c12">Unauthorized Transactions; Fraud.</span><span class="c3"> Your Bill Pay Account information could be stolen, and someone could initiate an unauthorized ACH transfer.
