If you wish to submit a Contribution and/or Information, then You agree to the terms and conditions of this Contribution License Agreement (“Agreement”, “CLA”), as follows:

1. Definitions

  1. “You” or “Your” means you as the owner of the Contribution and/or Information, and if you are not the owner, then you as the person having authorization to enter into this Agreement in behalf of the owner.

  2. “Contribution(s)” means material that You submit in connection with Hystax Open Source Software, including any source code, object code, patch, tool, sample, graphic, specification, manual, documentation, or any other material posted or submitted by you to the project.

  3. “Hystax Open Source Software” means Hystax-authored open source software published pursuant to an MIT, Apache, GPL or other open-source license.

  4. “Information” means comments, feedback, or other communication submitted by You in connection with Hystax Open Source Software, technology or products.

  5. “Work” means products of Hystax, to which the Contribution may then you as the person havrelate.

2. Licenses

  1. Copyright License. You hereby grant to Hystax and its affiliates a perpetual, irrevocable, worldwide, non-exclusive, paid-up and royalty-free license with right to sublicense, under copyrights, to reproduce, publicly display, distribute, publicly perform, and make derivative works of Contribution(s) and such derivative works.

  2. Patent License. You hereby grant to Hystax and its affiliates, as well as those who directly or indirectly receive the Contribution from Hystax, a perpetual, irrevocable, worldwide, non-exclusive, paid-up and royalty-free license, under patent claims necessarily infringed by your Contribution alone or in combination with a Work, to make, have made, use, sell, offer to sell and import, the Work.

  3. Information. You hereby grant to Hystax and its affiliates, a perpetual, irrevocable, worldwide, non-exclusive, paid-up and royalty-free license to use and implement in any manner any Information, according to Hystax discretion.

3. Representations and Warranties

  1. You represent that You have all legal rights to grant the above licenses, including that the licenses are for Your own creation, or because You have the authorization of the intellectual property owner to grant the licenses.

  2. You are not aware of any third-party rights that would impair the ability of Hystax or others in the community to utilize Contributions or Information.

  3. In the event Contributions or Information include third party rights for which You become aware, You will notify Hystax promptly and provide details as to the nature of the third party rights, and cooperate with Hystax as requested to secure ongoing rights to use, or modify the Contributions or Information so as to remove third party restrictions.

  4. Unless required by applicable law or agreed to in writing, Your Contributions and Information are provided on an “as-is” basis, without warranties of any kind, whether express, implied or by reason of estoppel, including without limitation, warranties as to title, non-infringement, merchantability, or fitness for a particular purpose.

  5. Submission of Contributions or Information is welcomed, but You acknowledge that Hystax is not obligated to utilize or respond to Contributions or guarantee implementation by others.

  6. You agree that we may register a copyright in Your contribution and exercise all ownership rights associated with it; and You agree that neither of us has any duty to consult with, obtain the consent of, pay, or give an accounting to the other for any use or distribution of Your contribution.

  7. You agree that you will not assert any moral rights in your contribution against us, our licensees or transferees.

4. No Support Obligation
  1. You are not required to provide support in connection with Contributions or Information.
